At Secure24 Alarm Systems, Inc. ("Secure24"), user privacy is an important concern. We are committed to privacy and security, and to providing the best possible user experience for our users and online customers. We also strive to protect the personal and confidential information of those who use our S24 Agent mobile app (the "App"). Click here for our entire Privacy Policy. If you receive a request to delete, modify, access or take other actions with respect to personal information of referrals you submit to the App, we will process those request in accordance with your instructions.

This App is owned and operated by Secure24. These terms (the "Terms") govern your access to and use of the App, including any content, functionality and services offered on, through or in combination with the App.

Please read these Terms carefully before you start to use the App. By using the App, or by clicking to accept or agree to the Terms when that option is made available to you, you accept and agree to be bound and abide by these Terms. You may use the App only for lawful purposes and in accordance with these Terms. If you do not want to agree to these Terms, you must not access or use the App.

Changes to the Terms

We may make changes to these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the App following the posting of such changes means that you accept and agree to the changes. You should check back from time to time so that you are aware of any changes to the Terms, as they are binding on you.

Use License

If you agree to these Terms, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this App license contained in these Terms.

The following terms apply when you use a App obtained from either the Apple Store or Google Play (each an “App Distributor”) to access the App: (1) the license granted to you for our App is limited to a non-transferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) we are responsible for providing any maintenance and support services with respect to the App as specified in the terms and conditions of this App license contained in these Terms or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the App; (3) in the event of any failure of the App to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the App, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the App; (4) you represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country and (ii) you are not listed on any U.S. government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms of agreement when using the App, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the App; and (6) you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this App license contained in these Terms, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this App license contained in these Terms against you as a third-party beneficiary.

Ownership

The App and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are owned by Secure24, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, or create derivative works of, publicly display, publicly perform, republish, download, store, transmit or commercially exploit any part of the App except as necessary to use or view the content therein and to create a reasonable number of copies of portions of such content (without modification) for your use. All rights in the App content not expressly granted to you by Secure24 are retained by Secure24 and its licensors.

Secure24 Alarm Systems, S24 Agent and all related names, logos, product and service names, designs and slogans are trademarks of Secure24 or its affiliates or licensors. You must not use such marks without the prior written permission of Secure24. All other names, logos, product and service names, designs and slogans on this App are the trademarks of their respective owners.

If you violate any of these Terms, our permission to you to use the App automatically terminates.

Access to the App

You may use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the United States or other countries). Additionally, you agree not to:

Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party’s use of the App or its telecommunications services, including their ability to engage in real time activities through the App.
Use any robot, spider or other automatic device, process or means to access the App for any purpose, including monitoring or copying any of the material or data on the App.

Reverse engineer or use any manual process to monitor or copy any of the material or data on the App or for any other unauthorized purpose without our prior written consent.

Use any device, software or routine that interferes with the proper working of the App.

Introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.

Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the App, the server on which the App is stored, or any server, computer or database connected to the App.

Attack the App via a denial-of-service attack or a distributed denial-of-service attack.

Otherwise attempt to interfere with the proper working of the App.

Use the App to perform any illegal activities (including without limitation defaming, abusing, harassing, stalking, threatening or otherwise violating the legal rights (such as rights of privacy) of others.

Impersonate anyone or any entity, falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Display advertising or commercial content.

Secure24 may change or discontinue, temporarily or permanently, any feature or component of the App at any time without further notice. You agree that Secure24 shall not be liable to you or to any third-party for any modification, suspension, or discontinuance of any feature or component of the App. Secure24 will not be liable if for any reason all or any part of the App is unavailable at any time or for any period. Full use of the App requires wifi or a mobile connection and may be affected by the performance of such access. You are responsible for making all arrangements necessary for you to have access to the App including up-to date compatible browser software. You are responsible for any data charges imposed by your mobile device carrier.

Secure24 has the right to disable your use of the App at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

Warranties; Limitation of Liability

YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO PROVIDE ALL CLIENT REFERRAL INFORMATION TO SECURE24 THAT YOU UPLOAD TO THE APP AND THAT YOU WILL COMPLY WITH ALL PRIVACY LAWS.

YOU ARE RESPONSIBLE FOR ANY ACTS OR OMISSIONS RELATING TO YOUR USE OF THE APP AND FOR ANY DAMAGES INCURRED AS A RESULT THEREOF. THE APP IS PROVIDED TO YOU “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DO NOT, AND OUR SUPPLIERS DO NOT REPRESENT OR WARRANT THAT THE APP, ITS CONTENT OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE APP WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR APP OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE APP OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE APP WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. WE AND OUR SUPPLIERS EACH DISCLAIM, TO THE EXTENT PERMITTED BY LAW, ALL WARRANTIES, EXPRESS AND IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ON BEHALF OF US AND OUR SUPPLIERS AND THE APP DISTRIBUTORS, ALL RESPONSIBILITY FOR ANY DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, THE APP OR CONTENT OR DATA AVAILABLE ON OR THROUGH THE APP, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

IF YOU ARE DISSATISFIED WITH THE APP OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY AGAINST SECURE24, ITS PARTNERS, AFFILIATES, APP DISTRIBUTORS, SERVICE PROVIDERS, LICENSORS AND ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS AND ASSIGNS, IS TO DISCONTINUE USING THE APP.

General Terms

The Terms and the resolution of any dispute related to the Terms shall be governed by and construed in accordance with the laws of the State of Missouri without respect to its conflict of laws principles. The parties hereto consent to the exclusive jurisdiction of the federal and state courts located in St. Louis County, Missouri and agree that venue of any action arising under this Agreement shall be in the federal and state courts of the State of Missouri. If any provision(s) of the Terms is found to be contrary to law, then such provision(s) will be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Secure24’s failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Secure24 in writing. These Terms constitute the entire agreement between you and Secure24 with respect to the subject matter herein and supersede any and all prior or contemporaneous oral or written agreements. You may not assign this agreement to any other party and any attempt to do so is void.
